The M&A Practice comprises advising clients on varied types of transactions involving public listed companies and private companies, including equity acquisitions (primary and secondary), business transfer arrangements (slump sale and asset sale), deferred considerations/earnout/escrow structures, consideration adjustment transactions, joint ventures, leveraged buyouts, amalgamations, insolvency and bankruptcy related structures in the form of resolution plans and takeovers, spin-offs and split-offs, takeovers or tender offers, private investment in public equity (PIPE deals), business restructurings (internal, external and global), board and corporate governance advice, executive matters and compensation advice, due diligences including white collar investigations. 

Our M&A lawyers specialize in advising on mandates that involve contentious disputes and sensitive relationships and that are subject to non-traditional regulatory review. We have represented acquirers, targets, promoters, minority, and/or financial stakeholders, employees, trade unions, boards (including an independent board of target entities), in various M&A transactions.

The Firm, at the initial stage of a transaction, embeds itself as part of the client’s business team to break down the commercial elements and then prepare a legally compliant strategy based on regulatory evaluation. The lawyers pride themselves on bringing in their varied legal and cultural experience supported by in-depth research and offering business inputs that de-risk the client, both financially and legally, thus achieving the desired objective of the M&A.

We handhold clients throughout the transaction by providing periodic updates, constant risk assessments, and transaction management by coordinating with all the stakeholders to ensure the timely completion of the mandate. 

Directly and through other network advisors, the Firm is a 360-degree, holistic, and one-stop solution for M&A requirements, including investment strategy, tax advisory, valuation exercise, and corporate secretarial solutions.

Scope

We advise on all aspects of the transaction including (a) drafting of the letter of intent/term sheets, non-disclosure agreements, and transaction documents such as share purchase agreement, business transfer agreement, joint venture or shareholders’ agreement, resolution plans, merger schemes and other ancillary documents depending on the transactions; (b) providing comprehensive due diligence, background investigations, transaction strategy and implementation of the structure, regulatory approval, funding structures, corporate secretarial services and other customary post transaction advisory and compliances.

As part of our M&A Practice, we also advise on foreign exchange laws, human resource-related compliances and challenges, tax laws and structuring advice, and competition law (anti-trust) concerns, including providing assistance in procuring relevant approvals.
